With the economic recovery in recent years, many local and mainland elites from all walks of life in Hong Kong are eager to try their luck in the business world. To help everyone realize their entrepreneurial dreams as soon as possible, flexispace has prepared a small guide for setting up a company in Hong Kong, including the process, registration steps and fees.

Setting up a company in Hong Kong is actually simpler than you might imagine. Hong Kong boasts a sound legal system and a simple tax system, making it very friendly to foreign investment and startups. With just a few documents prepared, a formal limited company can be established in a few days. Below is the process and key points for setting up a company in Hong Kong:

Step 1: Company Type and Basic Settings

  • Choose company type: Limited Liability Company or Unlimited Company

  • Company Basic Structure Regulations

    • There must be at least one director and one shareholder (a director may also be a shareholder).

    • You must have a registered office address in Hong Kong.

    • A qualified company secretary must be appointed in accordance with the law .

Step 2: Draft a company name and conduct a company name search to ensure it complies with regulations.

Step 3: (Crucial Step) Prepare and Submit Registration Documents

  1. Required documents and fees

    • Incorporation form: NNC1G or NNC1 (for corporations).

    • Articles of Association

    • IRBR1 Notification to the Business Registration Department (In addition, within one month of incorporation, the company must apply to the Inland Revenue Department for a Business Registration Certificate BR, specifying whether it chooses a one-year or three-year registration certificate).

  2. Submission Method and Time

    • Electronic method: Submit through the Companies Registry's "Easy Registry" system, and you can obtain the electronic CI (Certificate of Incorporation) and BR (Business Registration) within a few hours.

    • Paper submission: Submit in person, normally takes about 4–10 business days to complete.

  3. Basic government fees: including company registration fee + business registration fee

Step 4: Matters after company registration is completed

  1. Obtain and properly keep company documents

    • Company Incorporation Certificate (CI)

    • Business Registration Certificate (BR)

    • Articles of Association, NNC1 copy, IRBR1 copy, register of directors and shareholders, etc.

  2. Company statutory records and internal documents

    • Establish a "statutory register" (member register, director register, company secretary register, etc.).

    • Prepare the first board resolution, such as: confirming directors/shareholders, opening bank accounts, appointing accountants, etc.

  3. Additional license

    • Certain industries require licenses, such as food and beverage, retail of regulated goods, education centers, and financial services.

    • You can check whether an industry license is required through the government's "Licensing Service" platform.

Once you've completed all the steps above, the new company's documents, samples, goods, and equipment will quickly become your biggest headache. At this point, what you need is a logistical support base to help you "get your business sorted out."
